Terms & Conditions of Business

1. Definitions

1.1. In these Terms of Business the following definitions apply: -

means the period during which the Student/Graduate is supplying services to the Client;

Calendar Week
means any period of seven days starting with the same day as the first day of the work opportunity.

means the person, firm or corporate body together with any subsidiary or associated Agency as defined by the Companies Act 1985 to whom the Student or Graduate is supplied.

Data Protection Laws
means the Data Protection Act 1998, any applicable statutory or regulatory provisions and all European Directives and regulations in force from time to time relating to the protection and transfer of personal data;

Ravensbourne Agency
means Ravensbourne Agency of 6 Penrose Way, Greenwich Peninsular, London SE10 0EW;

means all losses, liabilities, damages, costs, expenses whether direct, indirect, special or consequential (including, without limitation, any economic loss or other loss of profits, business or goodwill, management time and reasonable legal fees) and charges, including such items arising out of or resulting from actions, proceedings, claims and demands;

means the individual, whose services are supplied by the Ravensbourne Agency to the Client;

Working Time Regulations
means the Working Time Regulations 1998.

1.2 Unless the context otherwise requires, references to the singular include the plural and references to the masculine include the feminine and vice versa.

1.3. The headings contained in these Terms are for convenience only and do not affect their interpretation.

2. Liability

2.1 The Client shall also advise the Ravensbourne Agency of any special health & safety matters about which the Employment Business is required to inform the Student/Graduate and about any requirements imposed by law or by any professional body, which must be satisfied if the Student/Graduate is to fill the opportunity. The client will assist the Ravensbourne Agency in complying with the Ravensbourne Agency’ duties under the Working Time Regulations by supplying any relevant information about the assignment requested by the Ravensbourne Agency and the client will not do anything to cause the Employment Business to be in breach of its obligations under these regulations.

2.2 The client undertakes that it knows of no reason why it would be detrimental to the interests of the Student/Graduate for the Student/Graduate to complete the opportunity.

2.3 The client undertakes not to request the supply of a Student/Graduate to perform the duties normally performed by a worker who is taking part in official industrial action or duties normally performed by someone who has been transferred by the client to perform the duties of the person on strike or taking official industrial action.

2.4 The client shall indemnify and keep indemnified the Ravensbourne Agency against any costs, claims or liabilities incurred by the Ravensbourne Agency arising out of any opportunity and/or as a result of any breach of those Terms by the client.

3. Special situation

3.1 Where the Student/Graduate is required by law, or any professional body to have any qualifications of authorisations to work on the Assignment or the Assignment involves caring for, or attending one or more persons under the age of eighteen, or any person who by reason of age, infirmity or who is otherwise in need of care and attention, the Ravensbourne Agency will take all reasonable practicable steps to provide to the client:

* Copies of any relevant qualifications or authorisations of the Student/Graduate, and

* Two references from persons not related to the Student/Graduate who have agreed that the references they provide may be disclosed to the client and has taken all reasonable practicable steps to confirm that the Student/Graduate is suitable for the Assignment. If the Ravensbourne Agency is unable to do any of the above is shall inform the client of the steps it has taken to obtain this information in any event.

3.2 The client shall notify the Ravensbourne Agency immediately and without delay and in the event within (24) hours if the Student/Graduate fails to attend work or notifies the client that he is unable to attend work for any reason. This applies onto to work placements.

4.Confident and data protection

4.1 All information relating to a Student/Graduate is confidential and subject to the Data Protection Laws and is provided solely for the purpose of providing work-finding services to the client. Such information must not be used for any other purpose nor divulged to any third party and the client undertakes to abide by the provisions of the Data Protection Laws in receiving and processing the data at all times.

5. Law

5.1 These terms are governed by English law and are subject to the exclusive jurisdiction of the English Courts.

6. Severability

15.1 In the event that any of these terms, conditions or provisions of these Terms & Conditions shall be determined by competent authority to be invalid, unlawful or unenforceable to any extent, such terms, conditions or provisions shall be severed from the remaining terms, conditions and provisions that shall continue to be valid to the fullest extent permitted by law.

7. Force majeure

7.1 The Ravensbourne Agency shall not be liable in any respect that may constitute a breach of this contract by reasons of Force Majeure, namely circumstance beyond the control of the Ravensbourne Agency that shall include, but not be limited to, acts of fire, flood, explosion, sabotage, accident, embargo, telecommunication and utilities failure, riot or acts of local government and parliament authority.
